06.07.2012 - Logitech Expects Restructuring Charges of Approximately $35 Million

NEWARK, Calif. — June 7, 2012 and MORGES, Switzerland, June 8, 2012 — Logitech International (SIX: LOGN) (Nasdaq: LOGI) today announced that it expects to record pre-tax charges in the current fiscal year of approximately $35 million associated with the company’s previously announced restructuring. The company is undertaking this restructuring to simplify the organization, to better align costs with its current business and to free up resources to pursue its growth opportunities. The restructuring is expected to yield approximately a net $80 million reduction in annual operating costs. The reduction will begin to benefit the company in the second half of Fiscal Year 2013 with the full savings expected to be achieved in Fiscal Year 2014. Approximately $32 million of the restructuring charges are expected to be recorded in the first quarter of Fiscal Year 2013, ending June 30, 2012. The largest component of the restructuring charge will be cash charges related to a workforce reduction. The company is eliminating approximately 450 positions, or 13 percent of its worldwide non-direct-labor workforce. NEWARK, Calif. — April 25, 2012 and MORGES, Switzerland, April 26, 2012 — Logitech International (SIX: LOGN) (Nasdaq: LOGI) today announced financial results for the fourth quarter and full year of Fiscal Year 2012. Sales for Q4 FY 2012 were $532 million, down 3 percent from $548 million in Q4 FY 2011. Excluding the unfavorable impact of exchange rates, sales decreased by 2 percent compared to the prior year.  Operating income was $24 million compared to $4 million in the same quarter a year ago. Net income for Q4 FY 2012 was $28 million ($0.17 per share) compared to net income of $3 million ($0.02 per share) in Q4 of FY 2011. Gross margin for the quarter was 36.4 percent compared to 32.8 percent in the same quarter one year ago. Logitech’s retail sales for Q4 FY 2012 decreased year over year by 2 percent, with an increase in EMEA of 13 percent, an increase in Asia of 12 percent, and a decrease in the Americas of 17 percent. OEM sales decreased by 9 percent. Sales for the LifeSize division decreased by 10 percent. For the full fiscal year, sales were $2.32 billion, compared to $2.36 billion in FY 2011. Operating income was $72 million, down 50 percent from $143 million a year ago. Net income for the full fiscal year was $71 million ($0.41 per share), down 44 percent from $128 million ($0.72 per share) in FY 2011. Gross margin for FY 2012 was 33.5 percent compared to 35.4 percent in FY 2011. “I look forward to leading Logitech to improved performance,” said Bracken Darrell, Logitech president. “To get back to sustained, profitable growth, we need to be simpler, faster and more consumer-centric. Some of this transformation has already begun, with the management team’s work to reinvigorate the product portfolio. We now need to simplify the organization through restructuring. With board approval, I have eliminated a layer of business and sales executive management; the leaders of our business groups and sales regions now report directly to me. In addition, we will consolidate brand management and product portfolio management under the leadership of the business groups, and streamline most other functions. I expect most of this restructuring to be completed by the end of the current quarter, freeing up resources to pursue our growth opportunities. The leaders of the individual business groups, which formerly reported to Mr. Labrousse, now report directly to Mr. Darrell. Darrell will join Logitech as president, effective April 9, 2012. Reporting to Guerrino De Luca, Logitech chairman and chief executive officer, Mr. Darrell will assume responsibility for research and development, sales and marketing, manufacturing, supply chain, IT, human resources and legal functions. FREMONT, Calif. — March 14, 2012 and MORGES, Switzerland, March 15, 2012 — In accordance with NASDAQ Stock Market rules regarding equity inducement awards, Logitech International (SIX: LOGN) (Nasdaq: LOGI) announced that it plans to grant, in the middle of April 2012, equity inducement awards totaling 500,000 stock options, 100,000 restricted stock units (RSUs) and 1,200,000 premium-priced stock options to Bracken P. Darrell, the company’s new president, in connection with the commencement of his employment on April 9, 2012.   Mr. Darrell’s grant of 500,000 stock options will have an exercise price per share equal to the fair market value of Logitech’s shares on the grant date, and vests over four years, with 25% of the options vesting on each annual anniversary of the grant date. Each stock option has a ten-year term. Mr. Darrell’s grant of 100,000 RSUs vests over four years, with 25% of the RSUs vesting on each annual anniversary of the grant date.  Mr. Darrell’s grant of 1,200,000 premium priced stock options will have exercise prices as follows: 400,000 stock options will have an exercise price per share of 1.75 times the fair market value of Logitech shares on the grant date, 400,000 stock options will have an exercise price per share of 2 times the fair market value of Logitech shares on the grant date, and 400,000 stock options will have an exercise price per share of 2.5 times the fair market value of Logitech’s shares on the grant date. These stock options will vest in full if and only when Logitech’s average closing share price, over a consecutive ninety-day trading period, meets or exceeds the respective exercise price of the options. Each stock option has a ten-year term. If Mr. Darrell’s employment is terminated other than for cause within one year after his employment start date, 25% of Mr. Darrell’s grant of 500,000 options, and 25% of his 100,000 RSUs, will vest. All Mr. Darrell’s inducement awards will fully vest if his employment terminates within one year following a change of control of the company.
