07.17.2011 - Logitech Disputes Patent Infringement Claim by Universal Electronics

View Logitech-Press related news. FREMONT, Calif., July 17, 2011 — Logitech International (SIX: LOGN) (Nasdaq: LOGI) today disputed the merit of a patent infringement lawsuit filed by Universal Electronics, Inc. (UEI) regarding remote control technology. UEI filed suit on seventeen patents against Logitech on Friday, July 15, 2011, rather than continuing license renewal negotiations with the company. Logitech originally entered into a license agreement with UEI in 2004 for certain UEI patents, to settle a lawsuit against Logitech Harmony remotes that was filed by UEI after the independent development of the Harmony remote technology. Logitech declined to renew the license on the same terms because the patents originally subject to dispute had either expired or were licensed during the patent application stage and, after the patents were granted, were determined to be inapplicable to Logitech products. Four of the seventeen patents in the lawsuit were never raised by UEI in the license renewal discussion. Three patents are expired. The remaining ten patents in the lawsuit include some that Logitech has determined to be inapplicable to its products and some that Logitech licensed as patent applications but were determined to be inapplicable once the patents were granted. Prior to receiving the complaint, Logitech had already determined that it did not infringe on any valid claim of ten of the fourteen unexpired patents and quickly reached the same conclusion with respect to the four additional patents.  “Logitech has a strong intellectual property (IP) portfolio for remote-control technology,” said Ashish Arora, Logitech vice president and general manager of the Digital Home business unit. “With the acquisition of our Harmony remote control business in 2004, which has become the leading brand in advanced universal remotes, we obtained patent applications on that technology that have subsequently become issued patents. We have also developed our own new patented technology and acquired additional patents. “Logitech respects the intellectual property rights of others, and has a history of purchasing or licensing patents when needed. However, we are confident that Logitech does not need a license from UEI. We believe that UEI’s lawsuit is without merit and we are confident that we will prevail in court.” About Logitech Logitech is a world leader in products that connect people to the digital experiences they care about. Spanning multiple computing, communication and entertainment platforms, Logitech’s combined hardware and software enable or enhance digital navigation, music and video entertainment, gaming, social networking, audio and video communication over the Internet, video security and home-entertainment control. FREMONT, Calif., April. 27, 2011 and MORGES, Switzerland, April. 28, 2011 — Logitech International (SIX: LOGN) (Nasdaq: LOGI) today announced financial results for the fourth quarter and full year of Fiscal Year 2011. Sales for Q4 FY 2011 were $548 million, up 4 percent from $525 million in the same quarter last year. Excluding the favorable impact of exchange rate changes, sales increased by 3 percent. Operating income was $3.6 million, a decrease of 87 percent compared to $27.7 million in the same quarter a year ago. Net income for Q4 was $2.8 million ($0.02 per share) compared to $24.5 million ($0.14 per share) in Q4 of FY 2010. Gross margin for Q4 FY 2011 was 32.8 percent, down from 35.8 percent one year ago. Logitech’s retail sales for Q4 FY 2011 grew by 2 percent year over year, with an increase in Asia of 32 percent, an increase in the Americas of 11 percent, and a decrease in EMEA of 17 percent. OEM sales decreased by 10 percent. Sales for the LifeSize division grew 88 percent, reaching a record high for a quarter. For the full fiscal year, sales were $2.36 billion, up 20 percent from $1.97 billion in FY 2010. Operating income was $142.7 million, up 82 percent from $78.4 million a year ago. Gross margin for FY 2011 was 35.4 percent compared to 31.9 percent in FY 2010. “FY 2011 was a strong year for the company, with sales growth of 20 percent and operating income nearly doubling, driven by our LifeSize division and our Americas and Asia retail regions,” said Gerald P. Quindlen, Logitech president and chief executive officer. “The disappointing conclusion to FY 2011 – which resulted in lower-than expected full-year sales, operating income and gross margin – was due to weaker than anticipated demand in the second half of Q4 for our products in EMEA. The weakness in demand in EMEA was compounded by poor execution of channel pricing and promotional programs within the region, which we have begun to remedy.” Outlook For Fiscal Year 2012, ending March 31, 2012, Logitech expects sales of approximately $2.6 billion, operating income of approximately $185 million and gross margin of approximately 35 percent. Founded in 1981, Logitech International is a Swiss public company listed on the SIX Swiss Exchange (LOGN) and on the Nasdaq Global Select Market (LOGI). # # # This press release contains forward-looking statements, including the statements regarding anticipated sales, operating income, gross margin and tax rate for FY 2011, and the long-term potential and enhancements for the Google TV platform. The forward-looking statements in this release involve risks and uncertainties that could cause Logitech’s actual results to differ materially from that anticipated in these forward-looking statements. Factors that could cause actual results to differ materially include: the demand of our customers and our consumers for our products and our ability to accurately forecast it; the effect of pricing, product, marketing and other initiatives by our competitors, and our reaction to them, on our sales, gross margins and profitability; if consumer reaction to and demand for the Google TV platform and our products for it are less positive than we expect, or if Google fails to support or continue the Google TV platform; the sales mix among our lower- and higher-margin products and our geographic sales mix; if our product introductions and marketing activities do not result in the sales and profitability growth we expect, or when we expect it; if we fail to take advantage of trends in the consumer electronics and personal computers industries, including the growth of mobile computing devices such as smartphones and tablets, or if significant consumer demand for peripherals to use with tablets and other mobile devices does not develop; if there is a deterioration of business and economic conditions or significant fluctuations in currency exchange rates; competition in the video conferencing and communications industry, including from companies with significantly greater resources, sales and marketing organizations, installed base and name recognition; as well as those additional factors set forth in Logitech's periodic filings with the Securities and Exchange Commission, including our Annual Report on Form 10-K for the fiscal year ended March 31, 2010, and our Quarterly Report on Form 10-Q for the quarters ended June 30, 2010 and September 30, 2010, available at www.sec.gov. Logitech does not undertake to update any forward-looking statements.
